1. Introduction

Welcome to EventPlug Nigeria ("EventPlug," "we," "us," or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EventPlug Nigeria regarding your access to and use of our event management platform, including our website located at eventplug.ng and any related services, features, content, and applications (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Services.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Registration

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Description of Services

4.1 Platform Services

EventPlug provides an online platform that enables Event Organizers to:

• Create and manage events
• Sell tickets and manage registrations
• Process payments through integrated payment gateways
• Access analytics and reporting tools
• Communicate with attendees
• Manage check-ins and attendee data

4.2 Third-Party Services

Our Services may integrate with third-party payment processors, analytics tools, and other services. Your use of such third-party services is subject to their respective terms and conditions.

5. Pricing and Payment Terms

5.1 Platform Fees

EventPlug charges a flat fee of ₦500 (Five Hundred Naira) per event created on the Platform. This fee is non-refundable and must be paid before an event can be published and made live.

5.2 Transaction Processing

All ticket sales and payments are processed through Paystack, our authorized payment gateway partner. Payment processing is subject to Paystack's terms and conditions and applicable payment processing fees.

5.3 Revenue Distribution

Event Organizers receive 100% of ticket sales revenue, minus payment processing fees charged by the payment gateway. EventPlug does not take any commission from ticket sales.

5.4 Refund Policy

Refund policies for ticket purchases are determined solely by Event Organizers. EventPlug is not responsible for processing refunds or mediating disputes between Organizers and Attendees regarding refunds.

5.5 Taxes

Event Organizers are solely responsible for determining and remitting any applicable taxes on their event revenue. EventPlug is not responsible for collecting, reporting, or remitting taxes on behalf of Event Organizers.

6. User Obligations and Conduct

6.1 Prohibited Activities

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Create events that promote illegal activities, violence, hate speech, or discrimination
• Engage in fraudulent activities or misrepresent yourself or your events
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, harvest, or collect data from the Platform without authorization
• Interfere with or disrupt the Platform's operation
• Create fake accounts or manipulate attendance numbers
• Infringe upon intellectual property rights of others
• Use the Platform for spam, phishing, or unsolicited marketing

6.2 Event Organizer Responsibilities

Event Organizers are solely responsible for:

• Ensuring all event information is accurate and up-to-date
• Obtaining necessary permits, licenses, and insurance
• Complying with venue regulations and safety requirements
• Managing attendee data in compliance with applicable privacy laws
• Delivering the event as described and advertised
• Handling customer service and attendee inquiries
• Processing refunds according to their stated policies

6.3 Attendee Responsibilities

Attendees agree to:

• Provide accurate information when purchasing tickets
• Comply with event rules and organizer policies
• Not resell tickets unless authorized by the Event Organizer
• Report any issues or concerns promptly to the Event Organizer

7. Intellectual Property Rights

7.1 Platform Ownership

EventPlug and its licensors own all rights, title, and interest in the Platform, including all software, designs, trademarks, logos, and other intellectual property. These Terms do not grant you any ownership rights in the Platform.

7.2 User Content

You retain all rights to Content you upload to the Platform. By uploading Content, you grant EventPlug a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display such Content for the purpose of operating and improving the Platform.

7.3 Content Responsibility

You are solely responsible for all Content you upload and represent that you have all necessary rights to grant the licenses described herein. You warrant that your Content does not infringe any third-party intellectual property rights.

7.4 Copyright Infringement

We respect intellectual property rights. If you believe any Content on the Platform infringes your copyright, please contact us at legal@eventplug.ng with detailed information about the alleged infringement.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

Event Organizers act as data controllers for attendee data collected through their events and must comply with applicable data protection laws, including the Nigeria Data Protection Regulation (NDPR).

9. Disclaimers and Limitations

9.1 Platform Relationship

EventPlug provides a platform that connects Event Organizers with Attendees. We are not a party to the relationship between Organizers and Attendees. EventPlug is not responsible for:

• The quality, safety, or legality of events listed on the Platform
• The accuracy of event descriptions or organizer representations
• The ability of Organizers to deliver advertised events
• Disputes between Organizers and Attendees
• Actions or inactions of Event Organizers or Attendees

9.2 Service Availability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from viruses or harmful components.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, EVENTPLUG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO EVENTPLUG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless EventPlug, its officers, directors, employees, agents, and affiliates from any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your Content or events
• Your violation of any third-party rights
• Any disputes between you and other users

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

11.2 Jurisdiction

You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the competent courts located in Lagos, Nigeria, and you consent to the personal jurisdiction of such courts.

11.3 Informal Resolution

Before initiating formal legal proceedings, parties agree to attempt to resolve disputes informally by contacting support@eventplug.ng and providing a detailed description of the dispute.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

We encourage you to review these Terms periodically to stay informed of any updates.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting support@eventplug.ng. Upon termination, you remain liable for all outstanding obligations and fees.

13.2 Termination by EventPlug

We may suspend or terminate your access to the Platform immediately, without notice, for:

• Violation of these Terms
• Fraudulent, illegal, or harmful activities
• Requests by law enforcement or government agencies
• Prolonged inactivity
• Technical or security concerns

13.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including intellectual property rights, disclaimers, indemnification, and dispute resolution provisions.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EventPlug regarding the use of the Platform and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

EventPlug shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, or government actions.
